최근 선고된 COVID-19 관련 사우디 대법원 판결 내용

사우디아라비아 대법원이 최근 불가항력(Force Majeure) 등 COVID-19에 의하여 영향을 받은 계약들에 적용될 수 있는 법적 원칙들을 선언한 중요한 판결(KSA Supreme Court, Decision No. M/45, 8/5/1442H)을 내렸다. 특별한 손해를 입지 않고서는 계약 혹은 의무를 이행할 수 없는 경우 COVID-19가 사우디법상 '예외적인 상황'에 해당하며, 만약 이행이 아예 불가능한 경우에는 불가항력으로 평가된다는 것이 주된 내용으로, 사우디에서 사업을 수행하는 한국기업들에게 직접적인 영향을 미침은 물론 코로나19 관련 분쟁 해결에 참고가 적지 않을 전망이다. 중동 최대 로펌인 알타미미(Al Tamimi & Company) 한국팀이 링크드인(LinkedIn)에 포스팅한 내용을 소개한다.

알타미미 한국팀은 먼저 사우디 대법원의 위 판결이 아래에서 언급된 조건들을 충족하는, COVID-19의 영향을 받은 계약 및 의무에 적용된다고 소개했다. 1) 해당 계약이 COVID-19에 따른 예방적 조치의 시행 이전에 체결되었고, 그 이후에 계속 이행될 것, 2) COVID-19의 영향이 직접적이고 회피가 불가능할 것, 3) 해당 계약에 미치는 영향은 오로지 COVID-19 때문이며, 다른 부가적인 원인이 존재하지 아니할 것, 4) 영향을 받은 당사자가 법적 권리를 포기하거나 별도 합의하지 아니하였을 것, 5) COVID-19로 인한 영향이 특별한 제도나 정부기관의 결정에 의하여 해결되지 아니하였을 것 등의 조건이다.

또 법원은 손해를 주장하는 당사자의 요청이 있는 경우 정의의 관점에서 당사자들의 이해 및 주변 상황을 고려하여 COVID-19에 의하여 영향을 받은 계약상 의무를 다음과 같이 변경하여야 한다.

1) COVID-19에 의하여 영향을 받은 부동산 및 동산의 임대차계약과 관련하여, 가. 만약 임차인이 COVID-19로 인하여 임대목적물을 전부 혹은 일부 사용할 수 없는 경우, 법원은 일반적으로 의도되었던 사용 이익의 감소분 만큼 임대료를 감액한다. 나. 임차인이 COVID-19로 인하여 임대 목적물을 전부 혹은 일부 사용하는 것이 불가능하였던 기간 동안의 임대료 지급을 연체하더라도, 임대인은 이를 이유로 임대차계약을 해지할 수 없다.

2) COVID-19의 영향을 받은 건설계약, 공급계약 및 이와 유사한 계약과 관련하여, 가. 만약 COVID-19가 원자재나 임금의 상승을 가져온 경우, 법원은 계약 금액을 인상하여야 한다. 법원은 일반적인 수준까지는 수급인이 증가된 비용을 부담하지만, 그러한 일반적인 수준을 넘어서는 과도한 비용 부담은 합리적인 수준까지 감액되도록 조치하여야 한다. 도급인은 이로 인해 자신의 의무가 증가한 경우 계약의 해지를 요청할 수 있다. 만약, 원자재 가격의 상승이 일시적인 경우 법원은 의무의 이행을 일시적으로 유예시킬 수 있는 권한을 가진다. 나. 만약 COVID-19가 시장에서 재화의 부족을 가져오는 경우, 법원은 수급인에게 특별한 손해가 발생하는 것을 방지하기에 충분한 정도로 계약 물량을 감축할 수 있다. 다. 원자재의 부족이 일시적인 경우, 법원은 도급인에게 실질적이고 이례적인 손해가 발생하지 않는 한 계약상 의무의 이행을 일시적으로 유예할 수 있다. 라. 건설 계약이 COVID-19로 인하여 계약 기간 내에 완료될 수 없는 경우, 법원은 계약상 의무의 이행을 일시적으로 유예할 수 있다. 만약 이로 인하여 도급인에게 실질적이고 이례적인 손해가 발생하는 경우, 도급인은 계약을 해지할 수 있다.

COVID-19의 영향을 평가함에 있어 다음 사항들이 고려되어야 한다.

1) 계약의 내용, 영향력의 세기 및 기간 등 COVID-19가 해당 계약에 미친 영향의 정도를 고려해야 한다. COVID-19가 해당 계약에 미친 영향은 실질적이고 이례적인 것이어야 한다. COVID-19로 인한 손해는 해당 계약이 COVID-19로 인하여 영향을 받은 기간 내에서 평가해야 하며, 그 기간을 초과하여 손해를 평가할 수 없다. 손해는 1인 이상의 전문가에 의하여 평가된다.

2) 임대차계약과 관련하여 부동산 사용의 가치가 평가되어야 한다.

만약 COVID-19로 인하여 부동산의 사용이 제한될 경우, 그 제한된 기간에 비례하여 임차료가 감액될 것이다.

사우디 법원은 COVID-19의 영향을 받은 계약으로 인한 분쟁과 관련하여 다음 원칙을 준수할 것이다.

1) COVID-19로 인하여 의무의 이행이 지연된 경우, 지연 배상금 조항은 (사안에 따라) 전부 혹은 일부가 적용되지 아니하며, 도급인은 프로젝트를 취소하거나 수급인의 비용으로 계약의 이행을 강요할 수 없다.

2) COVID-19의 경우 원칙적으로 불가항력에 기하여 계약당사자의 의무를 배제하는 조항은 집행할 수 없다.

3) COVID-19에 의한 이행지체는 이를 주장하는 자가 입증하여야 한다.

4) 이 원칙에 의하여 처리되지 않는 계약 및 계약상 의무들은 샤리아 법에 의하여 처리되어야 한다.

KSA Supreme Court
Decision No. M/45, Dated 8/5/1442H

The General Assembly of the Supreme Court:

Pursuant to the powers vested in us by the Law of the Judiciary, promulgated by Royal Decree M/78,
dated 19/9/1428H;

After perusal of Royal Order No. 15700, dated 20/3/1442H, addressed to the Chief Justice of the Supreme Court, which states: “We have reviewed the fax of HH The Secretary-General of the Council of Ministers No. 2430, dated 9/3/1442H, which refers to Supreme coordination Committee for Addressing the Challenges of Crises (SCCACC) Report No. 6/42/A, dated 11/2/1442H, setting out SCCACC’s following opinion on the findings of Report No. 37, dated 21/1/1442, by the assembled panel of experts from the Council of Ministers:

“The General Assembly of the Supreme Court considered the adoption of legal principles on aspects related to the Covid-19 pandemic and the impact of force majeure and exceptional circumstances on affected contracts and obligations, the assessment of such impact, and the limits on court powers to amend such obligations and contracts;”

Upon consideration and reflection;

Having reviewed the relevant orders and regulations, as well as ministerial decisions addressing the
pandemic’s impacts;

Noting the position held by Shariah scholars on the issue of pandemics based on revealed texts
(nusus al wahy);

Given that Islamic Shariah is valid and applicable regardless of time, place, and circumstance;

Given that legal principles ensure settled and unified case law, regulate the exercise of discretion, and
enable contracting parties to know the Islamic rule on matters;

Desiring to ensure legal stability and predictability;

Determined to promote justice and prevent harm;

Affirming the objective behind balanced contracts; and

Taking into account interests, both public and private,

Has decided as follows:

1. The Covid-19 pandemic would be an exceptional circumstance if the obligation or contract cannot be performed without an unusual loss, and force majeure if performance became impossible. This principle shall apply to affected contracts and obligations subject to the following conditions:

1) The contract was concluded before the commencement of the Covid-19 preventive measures and continued to be performed in the wake of the pandemic. The pandemic’s impact on the contract is direct and unavoidable.
2) The impact on the contract was caused solely by the pandemic; there is no contributory cause.
3) The affected person has not waived or reached settlement with respect to his rights.
4) The effects of the pandemic and its damage are not addressed by a special regime or a decision of the competent authority.

2. The court shall, upon request of the person alleging damage, and after weighing the parties’ interests and taking account of the surrounding circumstances, amend the contractual obligation affected by the pandemic in the interests of justice as follows:

1) The following provisions shall to apply to rental contracts for real estate and movable property affected by the pandemic:
a. If, due to the pandemic, the tenant was unable to use to the leased property wholly or in part, the court would reduce the rent as much as the usually intended benefit was reduced.
b. The landlord, meanwhile, does not have the right to terminate the contract if the tenant is late in paying the rent for the period during which it was impossible to fully or partly use the property due to the pandemic.

2) Concerning construction contracts, supply contracts, and the like, which have been affected by the pandemic:
a. If the pandemic causes an increase in the cost of materials and labor wages, etc., the court shall increase the value of the contract while ensuring that the obligor can afford to bear the expense, up to the normal level, and that anything above that is reduced to a reasonable level. The obligee, in the face of increased obligations, has the right to request the termination of the contract. If the increase in the cost of materials is temporary (i.e. will cease), the court reserves the right to temporarily suspend the performance of the obligation.
b. If the pandemic causes a shortage of goods in the market, the court can reduce the quantity to the extent it deems sufficient to protect the obligor from unusual harm.
c. Moreover, if the shortage of materials is temporary, the court can temporarily suspend the obligation if the obligee will not suffer substantial, extraordinary damage as a result. If, however, he is so harmed, he may request termination of the contract. If the materials were not available at all, such that the contractual obligations are impossible to perform, in whole or in part, the court will terminate the clauses that are impossible to perform upon the request of one of the parties to the contract.
d. If a construction contract involves an obligation to perform work which cannot be completed on time due to the pandemic, the court can temporarily suspend the performance of the obligation and if the obligee suffers substantial, extraordinary damage as a result, he may seek termination.

3. The following factors shall be taken into account when assessing the impact of the pandemic:

1) The extent to which the contract has been affected, according to activity, and the rate of impact, if any, and duration. The impact must be substantial and extraordinary, with consideration being limited to the contract in question. Moreover, damage shall not be assessed with respect to a period beyond the one during which the contract was affected by the pandemic. The assessment shall be made by one or more specialized experts.

2) For rental contracts, the value of enjoyment will be assessed. If enjoyment is of consistent duration, the rent will be reduced in proportion to the period of inability to obtain enjoyment and, if enjoyment varies in duration according to season, the designated rent will be made payable by instalments according to the value of enjoyment, and will be reduced commensurate with the period of inability to obtain enjoyment, as directed by the expert.

4. Subject to the above provisions, the court shall, when considering cases arising from contracts and obligations affected by the pandemic, observe the following:
